General Terms and Conditions (GTC) of AS Tragende Ideen GmbH

1. Scope of Application

These General Terms and Conditions (GTC) apply to all contracts, deliveries, and services between AS Tragende Ideen GmbH (hereinafter "Provider") and its customers. Deviating conditions of the customer are not recognized, unless the Provider explicitly agrees to them in writing.

2. Offer and Conclusion of Contract

(1) The Provider's offers are non-binding and subject to change. (2) A contract is only concluded upon written confirmation by the Provider or upon delivery of the ordered goods.

3. Prices and Payment

(1) All prices are in Euros plus the statutory value-added tax, unless otherwise stated. (2) Payments are due immediately upon receipt of invoice, unless otherwise agreed. (3) The Provider reserves the right to demand advance payments or securities.

4. Delivery and Shipping

(1) Delivery will be made to the address specified by the customer. (2) Information on delivery times is non-binding, unless they have been expressly agreed upon as binding. (3) The Provider is entitled to make partial deliveries.

5. Retention of Title

The delivered goods remain the property of the Provider until full payment has been made.

6. Liability for Defects and Warranty

(1) The customer must inspect the goods immediately upon receipt for defects and report these in writing within 7 days. (2) In the event of justified complaints about defects, the Provider has the right to rectification or replacement delivery. (3) Further claims of the customer, in particular claims for damages, are excluded, unless gross negligence or intent is involved.

7. Liability

(1) The Provider is liable only for intent and gross negligence. (2) For slight negligence, the Provider is liable only in case of violation of essential contractual obligations. (3) Liability is in any case limited to the foreseeable, typically occurring damage.

8. Copyrights and Industrial Property Rights

(1) The Provider reserves all copyrights to designs, drafts, and samples created by the Provider. (2) Further use or reproduction is not permitted without express consent.

9. Data Protection

10. Final Provisions

(1) The law of the Federal Republic of Germany applies. (2) The place of jurisdiction is the Provider's registered office, provided that the customer is a merchant or a legal entity under public law. (3) Should individual provisions of these GTC be or become ineffective, the validity of the remaining provisions remains unaffected.
